These Terms of Service (the "Agreement" or "Terms of Service") are a legally binding agreement between you, whether as an individual or on behalf of an institution ("User", "Teacher", "Student", "Test Taker", "Testing Institution", "you", or "your") and Envsoft Solutions LLP ("Envsoft", "we", "us", or "our").

You acknowledge and agree that your use of the ProctorPlus online proctoring platform (the "Platform") through our website or any related web or mobile interface will be governed by this Agreement, our Privacy Policy and any other related terms or addenda agreed with your institution.Privacy Policy

• A Teacher is any User who creates or configures an exam on the Platform and shares the exam link with Students or Test Takers.
• A Student or Test Taker is a User who attempts an exam that is monitored or recorded using ProctorPlus.
• A Testing Institution includes schools, colleges, universities, coaching institutes, training providers, corporate employers, or any other organization that administers tests using ProctorPlus.

If you enable proctoring for Students or Test Takers under 18 years of age, you are responsible for ensuring that valid, verifiable consent from parents or legal guardians has been obtained in accordance with applicable Indian law before such minors use ProctorPlus. You represent and warrant that you have obtained such consent and agree to indemnify and hold Envsoft harmless from any claims arising from a breach of this obligation.

By clicking "I agree", creating an account, or using the Website, App, or Platform, you represent that you have read and understood this Agreement, are at least 18 years of age and legally competent to contract under Indian law, and agree to be legally bound by this Agreement and our Privacy Policy.Privacy Policy

Our Privacy Policy explains how Envsoft collects, uses, discloses, and protects personal information in connection with ProctorPlus.Privacy Policy

By using the Platform, you consent to the handling of information as described in the Privacy Policy, including exam recordings, logs, and related metadata shared with your Testing Institution.

• You are not barred from using online services under any applicable law in India.
• You will maintain only one registered account in your own name unless explicitly permitted otherwise by Envsoft or your Testing Institution.
• You have full power and authority to enter into this Agreement and doing so will not violate any other contract or obligation that applies to you.
• You will not use ProctorPlus in a manner that infringes our intellectual property rights or the rights of any third party.
• You will arrange and bear all costs for hardware, software, and internet connectivity required to use ProctorPlus.

Subject to your continued compliance with this Agreement, Envsoft grants you a limited, non-exclusive, revocable, non-transferable, non-sublicensable license to access and use ProctorPlus solely for legitimate testing and exam-related purposes authorized by your Testing Institution.

Except for this limited license, no rights, title, or interest in the Platform, Website, App, or any related content are transferred to you. All rights not expressly granted are reserved by Envsoft and its licensors.

You agree that ProctorPlus contains proprietary materials owned by Envsoft or its licensors and protected by copyright, trademark, and other laws. You agree that you will not copy, modify, distribute, reverse engineer, or otherwise misuse the Platform except as expressly permitted in this Agreement.

Envsoft may disable or restrict your access at any time if, in its reasonable opinion, you violate this Agreement, create security risks, or misuse the Platform.

As a condition of accessing and using ProctorPlus, you agree to this Agreement and to strictly follow the requirements below.

Required Conduct

• Comply with all applicable laws and regulations, including but not limited to data protection, information technology, and examination-related regulations in India.
• Provide accurate, current, and complete information to Envsoft and update it from time to time as may be necessary.
• Review and adhere to our Privacy Policy and any additional policies or instructions applicable to your use of ProctorPlus.
• Review and comply with notices, guidelines, and communications sent by Envsoft or your Testing Institution in relation to ProctorPlus and exam conduct.

Prohibited Conduct

• Do not duplicate, license, sublicense, publish, broadcast, transmit, distribute, perform, display, sell, rebrand, transfer, or otherwise commercially exploit ProctorPlus, the Website, the App, or any part of them, except for content that you lawfully own or as expressly permitted in writing by Envsoft.
• Do not reverse engineer, decompile, disassemble, decipher, capture screenshots in bulk for replication, or otherwise attempt to derive the source code, underlying algorithms, or technical design of any part of ProctorPlus, except where allowed by law and only after providing prior written notice to Envsoft.
• Do not use information, content, or data that you view on or obtain from ProctorPlus to build, provide, or support any service that competes with ProctorPlus or that is intended to replace a material portion of its functionality.
• Do not imply or state, directly or indirectly, that you are affiliated with, endorsed by, or acting on behalf of Envsoft unless you have entered into a specific written agreement with us authorizing such representation.
• Do not adapt, modify, translate, or create derivative works based on ProctorPlus, its technology, or other users’ content, in whole or in part, except as expressly permitted in this Agreement or by Envsoft in writing.
• Do not rent, lease, loan, trade, sell, resell, or otherwise transfer access to ProctorPlus or any information or content available through it, in whole or in part.
• Do not access, reload, "refresh", or make other automated or excessive requests to our servers in a manner that goes beyond normal and reasonable usage patterns of web-based applications.
• Do not use manual or automated software, devices, scripts, robots, or other means or processes to scrape, crawl, index, or spider any web pages or interfaces associated with ProctorPlus, except where explicitly allowed in a written agreement with Envsoft.
• Do not use automated methods to create accounts, add contacts, send bulk messages, or otherwise interact with ProctorPlus in a way that could be viewed as spam or abusive behaviour.
• Do not engage in "framing", "mirroring", or otherwise simulate the appearance or function of any part of our Website or Platform without our prior written consent.
• Do not attempt to or actually access ProctorPlus by any means other than through the interfaces and APIs expressly provided or authorized by Envsoft.
• Do not attempt to or actually override, disable, tamper with, or circumvent any security or access-control component included in or underlying ProctorPlus.
• Do not engage in any activity that interferes with the proper working of ProctorPlus or places an unreasonable load on our infrastructure, including but not limited to unsolicited communications, attempts to gain unauthorized access, or transmission or activation of malware or harmful code.
• Do not remove, obscure, or alter any copyright, trademark, or other proprietary rights notices contained in or on ProctorPlus, including those of Envsoft or any of our licensors.
• Do not use any information obtained from ProctorPlus to harass, abuse, intimidate, or harm another user or any third party.
• Do not engage in any action, or promote any content, that is harmful, offensive, unlawful, defamatory, discriminatory, hateful, dangerous, or otherwise prohibited under applicable Indian law or institutional policies.

When you use ProctorPlus for a monitored exam, Envsoft and/or our proctoring partners may remotely interact with your device for the limited purpose of monitoring your screen and environment and helping to ensure that no prohibited applications, resources, or settings are active during your exam session.

You may be asked to perform a scan of your room or surroundings using your webcam so that the proctor can reasonably assess your exam environment. The proctor will provide instructions on how to complete this scan, and you agree to follow those instructions in good faith.

During the exam session, you agree to maintain audio and, where required, video connection with the proctor or automated proctoring system, to permit ProctorPlus to record your exam session, and to end such connection once the exam is completed or terminated.

You authorize Envsoft to capture, store, and share recordings, screenshots, logs, and other exam-related content from your session with your Testing Institution so that it may review potential integrity concerns and take action under its own policies.

If you engage in behaviour that violates exam rules, institutional policies, or this Agreement, Envsoft and/or the proctor may deny or discontinue service and may notify your Testing Institution of the incident, including sharing relevant evidence from your session.

By choosing to use ProctorPlus, you understand and agree that a proctor or automated system may terminate your exam session immediately if it observes or reasonably suspects serious violations, including but not limited to conduct that is vulgar, offensive, obscene, abusive, fraudulent, or otherwise inappropriate, or if required under the terms agreed between Envsoft and your Testing Institution.

You grant Envsoft and any appointed proctors the right to use the tools and workflows built into ProctorPlus to flag, report, and recommend that your exam attempt be reviewed or disqualified by your Testing Institution if suspicious or questionable activity is detected during your session. Final decisions regarding validity, grading, and consequences rest solely with your Testing Institution.

If you or your Testing Institution purchase paid access to ProctorPlus, the applicable fees, billing cycles, and payment terms will be communicated on our Website, within the Platform, or in a separate agreement.

Refund, cancellation, or proration terms will be published on our Website or set out in your commercial agreement. Unless expressly stated otherwise, fees already charged for completed billing periods are non-refundable.

You understand and consent that Envsoft may send you operational and service-related communications regarding ProctorPlus by email, in-app notifications, SMS, or other electronic means.

Where Envsoft has entered into an agreement with a Testing Institution, the institution may grant Envsoft a limited, non-exclusive, royalty-free license to display its name and logo solely to identify it as a customer of ProctorPlus, subject to any brand guidelines and opt-out rights.

You agree to indemnify, defend, and hold harmless Envsoft and its partners, directors, officers, employees, and agents from and against all claims, damages, losses, liabilities, costs, and expenses arising out of or related to your breach of this Agreement, misuse of the Platform, violation of rights of any third party, or failure to obtain necessary consents.

Your access to and use of the Platform, Website, or App, or any content or services made available through them, is at your sole risk. You understand and agree that ProctorPlus is provided on an "AS IS" and "AS AVAILABLE" basis.

To the maximum extent permitted under applicable law, Envsoft expressly disclaims all warranties and conditions of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Without limiting the foregoing, Envsoft makes no warranty or representation and disclaims all responsibility and liability for: (i) the completeness, accuracy, availability, timeliness, security, or reliability of the Platform, Website, App, or any content; (ii) any harm to your device, loss of data, or other harm resulting from your access to or use of the Platform, Website, App, or any content; (iii) the deletion of, or failure to store or to transmit, any content, configuration, or communication maintained by ProctorPlus; and (iv) whether the Platform, Website, or App will meet your requirements or be available on an uninterrupted, secure, or error-free basis.

No advice or information, whether oral or written, obtained from Envsoft or through the Platform, Website, or App will create any warranty or representation not expressly stated in this Agreement.

ProctorPlus may allow Teachers, Students, or Testing Institutions to create, upload, or share content, instructions, exam materials, or communications. Envsoft does not routinely review, verify, endorse, or approve user-generated content, and such content remains the sole responsibility of the user or institution that created or provided it.

Under no circumstances will Envsoft be liable in any way for user-generated content, including, without limitation, for any errors or omissions in such content, or for any loss or damage of any kind incurred as a result of the use of, or reliance on, any content posted, transmitted, or otherwise made available via ProctorPlus. Envsoft specifically disclaims any and all responsibility for the creation, accuracy, and legality of user-generated content.

You acknowledge and agree that, to the fullest extent permitted by law, Envsoft will not be liable to you or any third party for any indirect, punitive, exemplary, incidental, special, or consequential damages, whether arising in contract, tort (including negligence), or otherwise, in connection with this Agreement or your use of, or inability to use, the Platform, Website, or App, including any information or services made available through them. If a competent court holds that this exclusion of certain damages is unenforceable in a particular case, then, in that case only, Envsoft’s total aggregate liability for all claims of every kind shall be limited to an amount not exceeding the total fees actually paid to Envsoft under this Agreement in respect of the services giving rise to such claim. This limitation applies, without restriction, to any technical malfunction, system or device error, loss or corruption of data, or any other injury or damage resulting from the use of the Platform, Website, or App. Where applicable law does not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages, Envsoft’s warranties and liability will be limited to the minimum extent permitted by such law..

We may suspend or terminate your account, or stop providing you with access to all or any part of the Platform, Website, or App, at any time, with or without cause. This may include situations where:

• Envsoft reasonably believes that you have breached this Agreement or our Privacy Policy
• your actions create or could create security, compliance, or legal risk for Envsoft or others
• it is no longer commercially or operationally feasible for Envsoft to continue providing ProctorPlus to you

Envsoft will use reasonable efforts to inform you of any suspension or termination, for example by email to the address linked to your account or when you next attempt to sign in, where practical in the circumstances. Upon such suspension or termination, your right and license to use the Platform, Website, and App will automatically cease. Provisions of this Agreement that are intended by their nature or context to survive termination (including those relating to intellectual property, disclaimers, limitations of liability, and indemnities) will continue in full force and effect.

You may not assign, transfer, or delegate any of your rights or obligations under this Agreement without Envsoft’s prior written consent. Envsoft may assign or transfer this Agreement in connection with a merger, acquisition, corporate reorganization, or sale of assets.

This Agreement shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Subject to any mandatory dispute resolution mechanism agreed with a Testing Institution, the courts located in Bengaluru, Karnataka, India shall have exclusive jurisdiction over any disputes arising out of or in connection with this Agreement or your use of ProctorPlus.

We may revise or update this Agreement from time to time in its sole discretion. Any revised terms will take effect after they are made available to you and you accept them, which may be done electronically where permitted. Envsoft will notify you of material changes by reasonable means, such as email or by posting the updated Agreement on the Website, App, or Platform. Your continued access to or use of ProctorPlus after the effective date of the updated Agreement will be deemed your acceptance of those changes.

Envsoft Solutions LLP and the User are independent contracting parties, and nothing in this Agreement shall be construed as creating any relationship other than that of independent contractors between them. The parties shall not be deemed to be partners, joint venturers, shareholders, employer and employee, or principal and agent. The User has no authority to bind Envsoft to any obligation, agreement, debt, or liability, and must not represent or hold itself out as an agent or authorized representative of Envsoft.

You understand and agree that Envsoft may send you information and service-related notifications about ProctorPlus by email, within the Platform, on the Website or App, and, where enabled, by text message or push notification to your device.

By creating an account, using ProctorPlus, or otherwise providing your contact details, you consent to receive such communications electronically at the email address and/or phone number you provide, as well as via in-product messages on the Website or App.

You acknowledge that your mobile or internet service provider may charge you for data, SMS, or other usage associated with receiving our communications, and you agree that you are solely responsible for paying any such charges or fees, not Envsoft.

Email Contact

When you contact us by email with a question or support request, you give Envsoft permission to respond to you at the email address you used, and to send any follow-up messages reasonably necessary to address your enquiry. Push Notifications

If push notifications are enabled for your account or device, ProctorPlus may send alerts about exams, account activity, or product updates. You can turn off non-essential push notifications at any time through your device or app settings; however, disabling certain notifications may affect your ability to receive timely exam-related information or to fully use some features of ProctorPlus.
